SmartEbook.com Co., Ltd. (JASDAQ:2330) entered into contract to acquire DIGITALIO Co., Ltd. from REXEM Co., Ltd. for ¥250 million on November 28, 2014. SmartEbook.com Co., Ltd. will acquire 1,667 shares. SmartEbook.com Co., Ltd. will operate DIGITALIO Co., Ltd. as its subsidiary. During the year ended September 2014, DIGITALIO Co., Ltd. had net assets of ¥50 million, total assets of ¥112 million, sales of ¥312 million, operating profit of ¥3 million, and net income of ¥7 million. Board of Directors of SmartEbook.com Co., Ltd. made a resolution in favor of the transaction on November 28, 2014. The tentative share transfer date is December 1, 2014. Plutus Consulting Co., Ltd. acted as independent third party appraiser for SmartEbook.com Co., Ltd. and REXEM Co., Ltd. Atsushi Inoue CPA provided financial due diligence to SmartEbook.com Co., Ltd. and REXEM Co., Ltd. The advisory fee is ¥5 million.
