Japan PC Service Co., Ltd. (NSE:6025) agreed to acquire remaining 30% in Smahospital Co., Ltd. and Axis Co., Ltd. from Masashi Izumiya for ¥135 million on July 14, 2020. As per terms, 15 shares in both the companies will be acquired. Smahospital Co., Ltd. and Axis Co., Ltd. will operate as wholly owned subsidiaries after closing. The consideration will be funded from loan of ¥135 million from Mizuho Bank. For the year ending August 31, 2019, Smahospital Co., Ltd. reported total assets of net assets of ¥85 million, total assets of ¥425 million, sales of ¥1.1 billion, operating loss of ¥27 million and nil net income. For the year ending August 31, 2019, Axis Co., Ltd. reported net assets of ¥103 million, total assets of ¥255 million, sales of ¥501 million, operating loss of ¥9 million and net loss of ¥10 million. A contract is expected to be signed on July 17, 2020 and the deal is expected to close on July 30, 2020.
Japan PC Service Co.,Ltd. is a Japan-based company primarily engaged in the provision of setting installation and troubleshooting of network-enabled devices, such as computers, tablet devices and digital consumer electronics. Its Smart Life Support segment has been divided into two divisions. The Field Support business is involved in the operation of directly operated stores and member stores, providing support services in major cities in Kanto, Kansai, Chubu and Kyushu. Its Membership Support Center business mainly involves in the provision of setting and failure correspondence services for network-enabled devices including computers in its call center by telephone or remote (remote control). This business is targeted at alliance companies that have entered into a contract with the Company. Its After Sales segment proposes switching proposals for network lines and proposing and selling network-compatible devices by telephone to customers of its customers and affiliated companies.
