Japan PC Service Co., LTD. (NSE:6025) concluded a contract to acquire Ariake Electronics Service Co., Ltd. and Technical Kyushu Co., Ltd from Toshiyuki Nakajima and Shigeko Nakajima on August 17, 2015. Japan PC Service will acquire 800 shares of Ariake electronics service and 200 shares of Technical Kyushu. Toshiyuki Nakajima will sell 81.25% stake in Ariake electronics service Co., Ltd. and Shigeko Nakajima will sell 18.75% stake in Ariake electronics service. Toshiyuki Nakajima and Shigeko Nakashima will sell 50% stake each in Technical Kyushu Co., Ltd. After the transaction, Ariake electronics service Co., Ltd. and Technical Kyushu Co., Ltd. will operate as wholly owned subsidiaries of Japan PC Service.
Ariake Electronics Service Co., Ltd reported total assets of ¥79.37 million, net assets of ¥5.21 million, revenues of ¥206.67 million, operating profit of ¥1.94 million and net profit of ¥2.17 million for the year ending April 2015. Technical Kyushu Co., Ltd. reported total assets of ¥48.1 million, net liabilities of ¥0.11 million, revenues of ¥165.52 million, operating profit of ¥0.34 million and net profit of ¥0.23 million for the year ending February 2015. The Board of Japan PC Service passed a resolution for the transaction on August 17, 2015. The transaction is expected to complete on August 17, 2015.
