Kakihara Meiban Co., Led. Completed the acquisition of Ishii Hyoki Co., Ltd. from Ishii Hyoki Co. Ltd. and JPN, Inc.

Kakihara Meiban Co., Led. signed a contract to acquire Ishii Hyoki (Thailand) Co., Ltd. from Ishii Hyoki Co. Ltd. (TSE:6336) and JPN, Inc. for ¥310 million on November 30, 2012. Kakihara Meiban Co., Led will acquire 0.12 million shares and loans of Ishii Hyoki (Thailand) Co. Ishii Hyoki Co. will sell 89% stake and JPN, Inc. will sell 11% stake. Shares and loans of Ishii Hyoki (Thailand) will be transferred to Kakihara Meiban and loans of Ishii Hyoki (Thailand) held by the Ishii Hyoki Co. and JPN, Inc. will be forgiven.
During the year ended November 2011, Ishii Hyoki (Thailand) Co., Ltd. had net liabilities of ¥82 million, total assets of ¥285 million, sales of ¥111 million, operating loss of ¥96 million, ordinary loss of ¥131 million and net loss of ¥199 million. During the year ended November 2010, Ishii Hyoki (Thailand) Co., Ltd. had net assets of ¥116 million, total assets of ¥402 million, sales of ¥83 million, operating loss of ¥109 million, ordinary loss of ¥105 million and net loss of ¥105 million. During the year ended November 2009, Ishii Hyoki (Thailand) Co., Ltd. had net assets of ¥222 million, total assets of ¥384 million, sales of ¥34 million, operating loss of ¥104 million, ordinary loss of ¥113 million and net loss of ¥113 million. Board of Directors of Ishii Hyoki Co resolved the transaction on November 30, 2012. The transaction is expected to close on December 19, 2012.
Kakihara Meiban Co., Led. Completed the acquisition of Ishii Hyoki (Thailand) Co., Ltd. from Ishii Hyoki Co. Ltd. (TSE:6336) and JPN, Inc. in 2012. Ishii Hyoki (Thailand) Co., Ltd has been removed from the scope of consolidation.
