Grupa Kapitałowa IMMOBILE S.A. with its registered office in Bydgoszcz ( the "Company") announces that today it received an information from the Board of its subsidiary - Kuchet Sp. o.o. with its registered office in Bydgoszcz (the Buyer) about the conclusion today of a preliminary agreement of sale of shares in the company Przedsiębiorstwo Hotelowe Majewicz Sp. z o.o. with its registered office in Bydgoszcz (85-006), by Gdańska 14, registered in the District Court in Bydgoszcz, XIII Commercial Division of the National Court Register, under KRS number 0000091219 (the Company), pursuant to which the Buyer is committed to acquire 100% of the shares in the Company, while all shareholders of the Company have committed to sell their shares until 31 March 2017, for a total price of 2.405.000 PLN net. The company also owns 2128/10800 of share in ownership of the property located in Bydgoszcz by Gdańska 14, which is the cadastral parcel number 23/2, within the registration 0130, with a total area of 0,2285 ha, for which the District Court in Bydgoszcz, X Land of Registry Division, maintains the perpetual number BY1B / 00001639/2, where the Company runs a hotel in building functioning under the name of "Hotel pod Orłem" (the "Property").

"Hotel pod Orłem" is a 4-star, representative object, located in the very center of Bydgoszcz. It was built between 1893 and 1896, and since 1974 the facility was signed in the register of monuments. It has 75 rooms. Przedsiębiorstwo Hotelowe Majewicz Sp. z o.o. owns the Property and performs as an operator of the hotel since 1994.

Today, the Buyer also entered into a preliminary agreement to sell the remaining 8672/10800 shares in the Property, with all the co-owners (excluding the Company) listed in the Perpetual Book of Real Estate, on the basis of which the Buyer undertook to acquire the shares in the Property for a price of

14.095.000 PLN net until 31.03.2017.

Therefore, as a result of agreements transferring ownership of shares in the Company and the Property, the Buyer will own the entire Property - directly by owning 8672/10800 of share and indirect by owning 2128/10800, resulting from owning 100% of share in the Company.

As the promised agreements will be signed, the Buyer intends to lease the Property to its subsidiary Focus Hotels S.A. located in Bydgoszcz.
