Grupa Kapitalowa Immobile : Report 46/2016 - The conclusion of the final agreement on the sale of Projprzem S.A. shares

The Management Board of Grupa Kapitałowa IMMOBILE S.A. with its registered office in Bydgoszcz (the "Company"), in relation to the current report No. 40/2016 of 12 October 2016, announces that today, through its proxy, the Company entered into final agreement on the sale of shares of PROJPRZEM S.A. with its registered office in Bydgoszcz, under which the Company, after the payment of the agreed price, purchased from two individuals ("Sellers") 154.750 (one hundred and fifty four thousand seven hundred and fifty) series A registered shares of PROJPRZEM S.A. representing 2,59% of the share capital of PROJPRZEM S.A. and 8,14% of the total number of votes at the General Meeting of PROJPRZEM S.A. and 68.750 (sixty-eight thousand seven hundred and fifty) ordinary bearer shares of PROJPRZEM S.A., representing 1,15% of the share capital of PROJPRZEM S.A. and 0,90% of the total number of votes at the General Meeting. what makes a total of 223.500 (two hundred twenty-three thousand five hundred) shares of PROJPRZEM S.A., representing 3,74% of the share capital of PROJPRZEM S.A. and giving the right to 9,04% of the total number of votes at the General Meeting of PROJPRZEM S.A.

Registered shares of series A being the subject of the agreement, as a result of this contract lost (according to the statute of PROJPRZEM S.A.) its voting-privilege at the General Meeting of PROJPRZEM S.A. According to the Company's estimates, 223.500 purchased shares represent 3,74% of the share capital of PROJPRZEM S.A. and give the right to 3,13% of the total number of votes at the General Meeting of PROJPRZEM S.A., considering the new total number of votes at the General Meeting PROJPRZEM S.A. which is a result of this agreement.

The Company also announces that today, in connection with this agreement, the Company submitted to the company PROJPRZEM S.A. an application for entry in the share register of the company PROJPRZEM S.A.
