Grupa Kapitalowa Immobile : Report 40/2016 - Conclusion of a preliminary agreement on selling shares of Projprzem S.A.

The Management Board of Grupa Kapitałowa IMMOBILE S.A. with its registered office in Bydgoszcz (the "Company"), announces that today, through its proxy, the Company entered into a preliminary agreement on selling shares of PROJPRZEM S.A. with its registered office in Bydgoszcz, under which the Company undertook to acquire from two individuals ("Sellers") 154.750 (one hundred fifty-four thousand seven hundred and fifty) shares of series A of PROJPRZEM S.A. representing 2.59% of the share capital of PROJPRZEM S.A. and 8,14% of total number of votes at the General Meeting of PROJPRZEM S.A. as well as 68,750 (sixty-eight thousand seven hundred and fifty) ordinary bearer shares of PROJPRZEM S.A., representing 1,15% of the share capital of PROJPRZEM S.A. and 0,90% of the total number of votes at the General Meeting, what makes total of 223.500 (two hundred twenty-three thousand five hundred) shares of PROJPRZEM S.A., representing 3,74% of the share capital of PROJPRZEM S.A. and giving the right to 9,04% of votes at the General Meeting of PROJPRZEM S.A.

The parties agreed that the promised agreement of sale will be concluded within 7 days from the date of the Company's request to conclude the agreement, but not later than on 11.10.2016.

In the case of the conclusion of the agreement, series A shares will lose, according to the statute of PROJPRZEM S.A., its privilege of voting rights at the General Meeting of PROJPRZEM S.A. According to Company's estimates after the conclusion of the final agreement, the total number of votes at the General Meeting of PROJPRZEM S.A. will decrease to 7.143.716 votes.

In the case of conclusion of the agreement, 223.500 of acquired shares will constitute 3,74% of the share capital of PROJPRZEM S.A. and will give the right to 3,13% of total (already reduced) number of votes at the General Meeting of PROJPRZEM S.A.
