CHIeru Co.,Ltd. (JASDAQ:3933) agreed to acquire 60.4% stake in SHOEI KOHO Co., Ltd and 100% stake in A&C Co.Ltd. for approximately ¥680 million on June 13, 2019. CHIeru Co.,Ltd will acquire 60.4% stake in SHOEI KOHO Co., Ltd for ¥453 million and will acquire 100% stake in A&C Co.Ltd for ¥230 million. Post completion, CHIeru Co.,Ltd will hold 100% stake in SHOEI KOHO Co., Ltd and A&C Co.Ltd of which 39.6% stake in SHOEI KOHO will be indirectly held. Post completion, SHOEI KOHO Co., Ltd and A&C Co.Ltd will become subsidiaries of CHIeru Co.,Ltd. SHOEI KOHO Co., Ltd reported total assets of ¥1.2 billion and net assets of ¥1.04 billion as of March 31, 2019 and revenues of ¥1.3 billion, operating profit of ¥1 million and net profit of ¥13 million for the year ended March 31, 2019. A&C Co.Ltd reported total assets of ¥118 million and net assets of ¥35 million as of March 31, 2019 and revenues of ¥42 million, operating profit of ¥5 million and net profit of ¥6 million for the year ended March 31, 2019 The transaction is resolved by the Board of CHIeru Co.,Ltd. The transaction is expected to complete on June 26, 2019.
