CAREERLINK Co., Ltd. (TSE:6070) entered into basic agreement to acquire Japan Business Service Co., LTD. from DSB Co., Ltd. (TSE:8692) for approximately ¥920 million on January 12, 2018. The scheduled share purchase agreement date is February 23, 2018. As of February 23, 2018, share transfer contract was signed. Under the terms of the transaction, CAREERLINK Co., Ltd. will acquire 5,500 shares. In a related transaction, CAREERLINK Co., Ltd. and DSB Co., Ltd. are in discussion concerning the mutual ownership of shares of both companies, with the amount equivalent to 1% of our total outstanding shares. CAREERLINK Co., Ltd. will operate Japan Business Service Co., LTD. as a wholly owned subsidiary. For the year ended March 31, 2017, Japan Business Service Co., LTD. reported sales of ¥3.61 billion, operating loss of ¥32 million and net income of ¥34 million. As of March 31, 2017, Japan Business Service Co., LTD. reported net assets of ¥1.05 billion and total assets of ¥1.43 billion.
The Board of Directors of CAREERLINK Co., Ltd. made a resolution in favor of the transaction on January 12, 2018. The transaction is expected to close on March 31, 2018.

Hirohiko Kondo appointed as Representative Director and Chairman, Koichi Yamaguchi appointed as Representative Director and President, Shigeki Euchi appointed as Executive Director, Yasuaki Narisawa & Yushi Murata appointed as Director, and Fumio Kaneko & Masaharu Kishimoto appointed as Auditor.
Careerlink Co Ltd is primarily engaged in providing comprehensive human resource services with a focus on staffing business. The BPO related business provides staffing service on BPO businesses for BPO operators, staffing service based on incentive contracts, and planning, designing and implementation services as parts of customersâ business processes. CRM related business provides staffing and placement services on telemarketing businesses for telemarketing operators, and telemarketing services for enterprises other than telemarketing operators. The general business provides staffing, placement dispatching, placement and recruiting, and others for general businesses. The manufacturing technology business provides staffing or contracting services for manufacturing and logistics operations on manufacturing sites.
