Sky Brasil Serviços Ltda. entered into a term sheet to acquire DTH (direct to home) postpaid customer base from Oi S.A. (BOVESPA:OIBR4) for approximately BRL 790 million on April 28, 2022. The consideration will be paid in two installments, after approval of the transaction by CADE, and the other conditions being met. SKY has undertaken to acquire the DTH Base of Oi and Oi agreed to transfer the DTH Base to SKY and provide to SKY the services related to IPTV Infrastructure. The effective conclusion of the Transaction is also subject to the authorization from the Company?s Judicial Reorganization court for the transfer of the DTH Base and to CADE?s approval. As of June 29, 2022, Hon. Recovery Court, ?based on art. 66 of the LRF, the Oi Group is authorized to proceed with the direct sale of part of the assets. The deal is expected to be completed in the second half of 2023.

(BOVESPA:OIBR4) terminated this deal the notification sent by SKY of unilateral termination of the Term Sheet and the antitrust protocol attached to it on the grounds that viable terms have not been reached for the renegotiation of the transaction.
