Mamiya-OP Co. Ltd. (TSE:7991) concluded a share exchange contract to acquire remaining 9.3% in Kasco Corporation from The Chugoku Bank, Limited (TSE:8382), The Hyakujushi Bank, Ltd. (TSE:8386), Hyakujushi Lease Co., Ltd., Mieko Ikeda and others for ¥47.5 million on August 26, 2016. Under the terms, 1.1 million shares will be acquired for ¥45.2 per share. The consideration comprises issuance of 0.39 million common shares of Mamiya-OP Co. Ltd. at ¥119 per share. Post this transaction, Kasco Corporation will operate as a wholly owned subsidiary of Mamiya-OP Co. Ltd. For the year ended March 31, 2016, Kasco Corporation reported net assets of ¥1.7 billion, total assets of ¥3.9 billion, sales of ¥4.6 billion, operating loss of ¥74.4 million and net loss of ¥148.9 million. The board of directors of Mamiya-OP Co., Ltd. resolved the transaction on August 26, 2016. Expected closing of the deal is on November 4, 2016. SMBC Nikko Securities, Inc. acted as independent third party appraiser.
