Deborah J. Caruso, trustee for ITT Educational Services Inc. filed a motion in the US Bankruptcy Court for the sale of its certain assets on February 13, 2018. The debtor seeks the Court’s approval for the sale of its certain assets to Winston Properties, LLC, the stalking horse bidder, for a purchase price of $1.25 million in cash pursuant to the asset purchase agreement dated February 7, 2018. The purchase price consists of $1.20 million for the real estate and $0.05 million for personal property. The debtor’s assets include real estate located in Greenfield, Wisconsin and certain personal property. To qualify as a qualified bidder, interested parties should submit their bids by March 13, 2018. The debtor has scheduled an auction on March 20, 2018. The stalking horse bidder would be entitled to a break-up fee of $0.03 million or out-of-pocket cost for stalking-horse's due diligence and legal fees, whichever is less, in case of termination of the asset purchase agreement. The sale hearing is scheduled for March 21, 2018.
