A consortium consisting of Polaris Private Equity V K/S, managed by Polaris Management A/S, Niklas Lundqvist, Samir Taha, Filip Engelbert, Jonas Nordlander and Simon Damkjaer Wille made an offer to acquire remaining 50.605091% stake in Awardit AB (publ) (OM:AWRD) for approximately SEK 580 million on March 25, 2024. The total value of the Offer, based on the 4,382,830 shares in Awardit, which are not directly or indirectly owned by the Consortium or their respective closely related parties, at an offer of SEK 132 per share amounts to approximately SEK 579 million. The Consortium holds shares in Awardit amounting to approximately 49.4% of the total number of shares and votes in Awardit. Polaris owns 2,088,272 shares in Awardit through Fayes, which corresponds to 24.1%, Niklas Lundqvist owns 1,015,841 shares, which corresponds to 11.7%, Samir Taha owns 300,000 shares, corresponds to 3.5%, Filip Engelbert and Jonas Nordlander together owns 873,905 shares, which corresponds to 10.1%. The consideration payable to the Company?s shareholders that accept the Offer is financed in full by funds available to Fayes by way of an equity commitment letter issued by Polaris to Fayes. The above-mentioned financing provides Fayes with sufficient cash resources to make payment in full in accordance with the Offer and, accordingly, completion of the Offer is not subject to any financing condition. The offeror will promote delisting of Awardit?s shares from Nasdaq First North Growth Market. The completion of the Offer is conditional upon, among other things, that it is accepted to the extent that the Consortium becomes the owner of shares representing more than 90% of the total number of outstanding shares in Awardit, that no other party announces an offer to acquire shares in Awardit on terms more favorable to the shareholders of Awardit than the Offer, Fayes intends to commence compulsory redemption proceedings under the Swedish Companies Act and the receipt of all necessary regulatory, governmental, or similar clearances, approvals and decisions, including from competition authorities, in each case on terms acceptable to the Consortium. The acceptance period for the Offer is expected to commence on March 26, 2024 and is expected to end on May 17, 2024.

Lenner & Partners is the fairness opinion provider to the independent bid committee of Awardit. The Bid Committee has engaged Pareto Securities as financial advisor and Baker McKenzie as legal advisor in relation to the Offer. The independent bid committee of Awardit AB (publ) recommends the shareholders in Awardit AB (publ) to accept the offer by Fayes Investeringar 1. Fayes, Polaris and the Consortium have retained Carnegie Investment Bank AB as financial advisor and Fayes has retained White & Case Advokat AB as legal advisor in connection with the Offer.
