AcadeMedia AB (publ) (OM:ACAD) signed an agreement to acquire all shares of Touhula Päiväkodit from group of sellers on February 8, 2024. The seller is the company?s board of directors, management, and about 100 employees. The transaction has a cash and debt-free value (Enterprise Value) of ?26.5 million. Additionally, dependent on the development of the company?s profitability, an acquisition earn-out of maximum ?15 million can arise, implying an EV/EBITDA of 5.6x. Following the acquisition, AcadeMedia?s international business will constitute about 30 percent of total turnover. AcadeMedia?s international business now includes Norway, Germany, Netherlands, Poland, England, and Finland. The transaction is expected to be completed on March 1, 2024. Ilkka Liljeroos, Mikko Luukkonen, Satu-Anneli Kauranen, Satu-Anneli Kauranen of DLA Piper Finland Attorneys Ltd acted as legal advisor to Touhula Päiväkodit and its shareholders on the sale of the company. Jens André and team of Eversheds Sutherland Advokatbyrå Ab acted as legal advisor to AcadeMedia in this transaction.
