AllTele Allmänna Svenska Telefonaktiebolaget (OM: ATEL A) agreed to acquire Telecom3 AB from Johan Hellström Invest AB, On Top Of It, Anderhed Invest AB and Wilderness Consulting Sweden AB for approximately SEK 150 million.

AllTele Allmänna Svenska Telefonaktiebolaget (publ) (OM: ATEL A) agreed to acquire Telecom3 AB from Johan Hellström Invest AB, On Top Of It, Anderhed Invest AB and Wilderness Consulting Sweden AB for approximately SEK 150 million on November 18, 2016. AllTele Allmänna Svenska Telefonaktiebolaget (publ) will pay SEK 63.2 million in cash (SEK 50 million at closing and SEK 13.2 million by February 28, 2017). Remaining part of purchase price to be paid in about 6.15 million new Alltele shares. The transaction is conditional upon the Swedish Financial Supervisory Authority approving a prospectus for the listing of the newly issued shares and AllTele shareholders approving issue of consideration shares. As of December 15, 2016, shareholders of AllTele passed the resolution to acquire Telecom3 including the proposal to issue the consideration shares. Thomas Nygren, Pontus Stenbeck, Johan Levinsson, Erik Pettersson and Mikaela Alderhorn of Hamilton & Co. acted as legal advisors for AllTele. Arthur Csatho, Peder Grandinson, Richard Folke and Louise St Cyr Linnarsson of DLA Piper acted as legal advisors to the shareholders of Telecom3 AB.
