The board (the "Board") of directors of XXF Group Holdings Limited announced that Mr. Wong Yuk ("Mr. Wong") has tendered his resignation as the company secretary of the Company (the "Company Secretary") as well as an authorised representative of the Company under Rule 3.05 of the Rules Governing the Listing of Securities (the "Listing Rules") on The Stock Exchange of Hong Kong Limited (the "Stock Exchange") and the authorised representative of the Company for accepting service of process or notice in Hong Kong under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong) (collectively the "Authorised Representative"), with effect from 1 March 2024. The Board announced that Ms. Peng Liting ("Ms. Peng") has been appointed as the Company Secretary and the Authorised Representative with effect from 1 March 2024. Set out below are the biographical details of Ms. Peng.

Ms. Peng holds a bachelor's degree in law from the South China Normal University in China, a master's degree in law from the University of Glasgow in the United Kingdom, as well as a master's degree in corporate governance from the Hong Kong Metropolitan University. Prior to joining the Company, Ms. Peng has extensive experience in corporate compliance, the relationship management of investors, investment and financing, and has worked for various listed companies in Hong Kong for approximately 5 years. Ms. Peng is an associate member of both The Hong Kong Chartered Governance Institute (formerly known as The Hong Kong Institute of Chartered Secretaries) and The Chartered Governance Institute in the United Kingdom, and has been awarded with the dual designations of Chartered Secretary and Chartered Governance Professional.
