ELECTION OF THE SUPERVISOR REPRESENTING THE STAFF AND WORKERS OF THE FIFTH SESSION OF THE SUPERVISORY COMMITTEE OF THE COMPANY

This announcement is made pursuant to Rule 13.51(2) of the Rules Governing the Listing of Securities (the "Listing Rules") on The Stock Exchange of Hong Kong Limited (the "Stock Exchange").

Reference is made to the circular of Xinhua Winshare Publishing and Media Co., Ltd.* (the "Company") dated 3 December 2021 in relation to (among other things) the election of the supervisors (the "Supervisors") of the fifth session of the supervisory committee (the "Supervisory Committee") of the Company.

The Company hereby announces that the Company convened the meeting of the representatives of the staff and workers of the Company on Thursday, 6 January 2022, and elected Ms. Wang Yan (being a Supervisor representing the staff and workers of the fourth session of the Supervisory Committee of the Company) and Ms. Wang Yuanyuan as the Supervisors representing the staff and workers of the fifth session of the Supervisory Committee of the Company. Their terms of office shall commence from the date of approval of appointment of other members of the fifth session of the Supervisory Committee of the Company at the extraordinary general meeting (the "EGM") to be held on 19 January 2022 or any adjournment thereof until the expiry date of the relevant session of the Supervisory Committee.

The fifth session of the Supervisory Committee of the Company shall comprise 6 Supervisors, among which, Supervisors not representing the staff and workers of the Company (including Supervisors representing the shareholders of the Company (the "Shareholders") and independent Supervisors) shall be elected at the EGM. Ms. Wang Yan and Ms. Wang Yuanyuan shall form the fifth session of the Supervisory Committee together with Supervisors not representing the staff and workers of the Company (including Supervisors representing the Shareholders and independent Supervisors) elected at the EGM.

The biographical details of the Supervisors representing the staff and workers of the fifth session of the Supervisory Committee of the Company are set out below:

Ms. Wang Yan, aged 43, is currently Supervisor, deputy head of the financial management center of the Company and supervisor of Wenchuan Logistics. She held the positions of supervisor of reporting team, assistant to head of the financial management center of the Company and supervisor of Sichuan Xinhua Winshare Media Co., Ltd. She has served as the deputy head of the financial management center of the Company since November 2011. She has served as a Supervisor of the Company since March 2015. Ms. Wang graduated from Jiangxi University of Finance and Economics, majoring in Financial Management and Economic Laws, and obtained a double degree of Bachelor in Economics and Bachelor in Laws. She is a non-practicing member of the Chinese Institute of Certified Public Accountants and also a senior accountant.

Ms. Wang Yuanyuan, aged 41, is currently manager of human resources department under education service department of the Company. She held the positions of administrative and secretarial staff of Sichuan Xinhua Book & Trading Co., Ltd., administrative and secretarial staff of the textbook distribution company of Sichuan Xinhua Publishing and Distribution Group, product developer, administrative assistant, performance management officer, operations specialist, operations manager of the company in Sichuan, manager of operation department and deputy manager of human resources department of education equipment branch of the textbook distribution department of the Company. She has been manager of human resources department under education service department of the Company from December 2021. Ms. Wang graduated from Sichuan Normal University, majoring in computer science and technology, and obtained a bachelor's degree in engineering. She also holds certificates of senior publication distributor and intermediate human resources management practitioner.

Save as disclosed above, each of Ms. Wang Yan and Ms. Wang Yuanyuan has respectively confirmed that (i) she does not hold any position in the Company or any other member of the Company; (ii) she did not hold any directorship in other listed companies for the past three years;

1. she does not have any relationship with any directors, supervisors, senior management, substantial or controlling Shareholders; and (iv) she does not have any interests in the shares of the Company within the meaning of Part XV of the SFO, and has not been penalised by the China Securities Regulatory Commission and other relevant authorities or disciplined by any stock exchanges.

Save as disclosed herein, the Company considers and each of the Supervisors representing the staff and workers of the fifth session of the Supervisory Committee of the Company abovementioned has respectively confirmed that there are no other matters to be disclosed pursuant to any of the requirements of Rule 13.51(2)(h) to Rule 13.51(2)(v) of the Listing Rules and that there are no other matters that need to be brought to the attention of the Shareholders.

The remuneration of candidates for the Supervisors of the fifth session of the Supervisory Committee is determined with reference to their respective duties and responsibilities with the Company, the Company's remuneration policy, the performance and profitability of the Company and market conditions, pursuant to which, the board of directors of the Company proposes that Ms. Wang Yan and Ms. Wang Yuanyuan will not receive any remuneration from the Company for their positions as the Supervisors representing the staff and workers of the Company and that their remuneration shall be determined based on the current position(s) held by them and their service contracts entered into with the Company.

Ms. Lan Hong, being a Supervisor representing the staff and workers of the fourth session of the Supervisory Committee of the Company, will cease to serve as a Supervisor of the Company on the date when the Supervisors representing the staff and workers of the fifth session of the Supervisory Committee of the Company duly assume their duties. Ms. Lan Hong has confirmed to the board of directors of the Company and the Supervisory Committee that she does not have any disagreement with the Supervisory Committee and that there are no other matters relating to her resignation which need to be brought to the attention of the Shareholders and the Stock Exchange.
