The Board of Directors of Vibhavadi Medical Center PLC. ("the Company") no. 4/2022 held on 15 August 2022 has the resolution approved the disposal ordinary shares of Princeton Park Suites Co.,Ltd. ("Princeton") which is a subsidiary of the Company in amount of 3,399,995 shares, representing 99.99% of the registered capital, totaling 20,000,000 Baht to Miss Rachanee Yingchairak's group who have not relationship and is not connected person with the Company. After the disposal of a Subsidiary's shares, Princeton will cease to be a subsidiary of the Company.
The Company has calculated transaction size under the disposition of assets criteria, according to the Notification of Capital Market Supervisory Board No. TorJor.20/2551 Re: Rules on entering into material transaction deemed as acquisition or disposal of assets and the Notification of the Board of Governors of the Stock Exchange of Thailand Re: Disclosure of information of listed companies concerning acquisition or disposal of assets B.E.2547. Including the amendment ("Notifications of the Board of Governors of the Stock Exchange of Thailand: Acquisition or disposition of assets"), The maximum transaction size is the value of the net tangible assets equals to 0.32 percent based on the Company's consolidated financial statements as of June 30, 2022., and the Company have not disposal of asset transactions occurred during past six months. This is not a transaction specified in the notification of the Board of Governors of the Stock Exchange of Thailand for acquisition or disposition of assets. Moreover, the transaction is not considered as a connected transaction according to the Notification of Capital Market Supervisory Board No. TorJor. 21/2551 Re: Rules on Connected Transactions dated August 31, 2008 (as amended).

Vibhavadi Medical Center Public Company Limited is a Thailand-based company that is engaged in providing medical services known as Vibhavadi Hospital.
