Unique Logistics International, Inc. (OTCPK:UNQL) entered into a definitive agreement to acquire 50% stake in Unique Logistics International Co., Ltd from Unique Logistics International Hong Kong Limited for $2 million on September 13, 2022. As part of the agreement, Unique Logistics International will acquire 500,000 Ordinary Shares of Unique Logistics International Co., Ltd for a total consideration of $2 million, to be paid via promissory notes. The transaction is subject to governmental, regulatory and corporate authorizations, third party approvals, board of directors of both Unique Logistics International and Unique Logistics International Hong Kong.

The Governmental Approval are a post Closing condition and are expected to be received within the next several months. Taiwan governmental approvals expected to be obtained in second or third quarter of 2023.
