NOTICE TO THE MARKET
São Paulo, April 4, 2024 - SYN prop e tech S.A ("Company"), a company listed on the Novo Mercado of B3 S.A. - Bolsa, Brasil, Balcão (Ticker: SYNE3), hereby informs its shareholders and the market in general that has signed, on the date hereof, a Memorandum of Understanding for the sale, together with the other shareholders of BRASILÍLIO MACHADO REAL ESTATE INVESTMENT FUND (CNPJ nº 02.027.437/0001-44)("FII-BM"),of the totality of its ideal fraction in the commercial complexes and parking lots of the Brasílio Machado building, located at Av. Dr. Cardoso de Melo, nº 1.955, Vila Olímpia, São Paulo/SP, for BRC RENDA CORPORATIVA FUNDO DE INVESTIMENTO IMOBILIÁRIO (CNPJ nº 30.567.216/0001-02)("FII-BRC") ("Transaction").
The price of the Transaction is R$ 32,500,000.00 (thirty-two million five hundred thousand reais) referring to the properties corresponding to SYN's total interest in FII-BM, and the amounts will be paid in currency, in 6 installments in alternate months.
The consummation of the Transaction is subject to the execution of the definitive documents and the fulfillment of conditions precedent customary for transactions of this nature.
