SUB: ALLOTMENT OF CONVERTIBLE EQUITY WARRANTS - OUTCOME OF THE MEETING OF THE BOARD OF DIRECTORS OF COMPANY HELD TODAY I.E. SEPTEMBER 2, 2022[Pursuant to Regulation 30 (read with Schedule Ill - Part A)]

Dear Sir/Madam,

Pursuant to Board meeting held on July 20, 2022 and approval of the members of the Company at their Extra-Ordinary General Meeting held on August 19, 2022 and pursuant to In-principle approvals granted by BSE Limited and National Stock Exchange of India Limited vide their respective letters dated August 10, 2022 and upon receipt of an amount aggregating to Rs.6,80,00,000 (Rupees Six Crores and Eighty Lakhs only) at the rate of Rs.18 per warrant (being 25% of the issue price per warrant) as warrant subscription price and application forms from the 5 proposed allottees, the Board of Directors of the Company, has considered and approved the Allotment of 37,77,777 (Thirty-Seven Lakhs Seventy- Seven Thousand Seven Hundred and Seventy-Seven) warrants on preferential basis at an issue price [including the warrant subscription price (Rs.18 per warrant) and the warrant exercise price (Rs.54 per warrant)] of Rs.72/- each (Rupees Seventy-Two only) to Mr. Jagdish Kumar Arora and Mr. Deepak Arora, Promoters of the Company and to certain other non-promoter persons/ entities ('Allottees') as per the list below:

Each of the Warrant, so allotted, is convertible into or exchangeable for one fully paid-up equity share of face value of Rs.5/- (Rupee Five only) of the Company in accordance with the provisions of Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, on payment of the balance consideration of Rs.54/- per warrant (being 75% of the issue price per warrant) from the Allottees at the time of allotment of equity shares pursuant to exercise of conversion option against each such warrant.

As against the approval (from the Board of Directors and members of the Company) for issue of 40,00,000 warrants, the board has allotted only 37,77,777 warrants, due to, short- receipt of warrant subscription money by one allottee.

The said meeting commenced at 7:00 pm and concluded at 7:15 pm.
