KOPEX Machinery SA based in Zabrze (41-800), 3 Maja 89, registered in the National Court Register of Enterpreneurs kept by the District Court in Gliwice, X Division of Commerce under KRS number 0000066425, REGON statistical number: 271134897, VAT ID No.: 6480001817, share capital PLN 3,580,581.84 fully paid,

2. Zabrzańskie Zakłady Mechaniczne - Maszyny Górnicze sp. z o.o. based in Zabrze (41- 800), 3 Maja 89, registered in the National Court Register of Enterpreneurs kept by the District Court in Gliwice, X Division of Commerce under KRS number 0000275774, REGON statistical number: 140878872, VAT ID No.: 5213427185, share capital PLN 34,137,000.00,

3. Fabryka Maszyn i Urządzeń TAGOR SA based in Tarnowskie Góry (42-600), Hutnicza 5- 9, registered in the National Court Register of Enterpreneurs kept by the District Court in Gliwice, X Division of Commerce under KRS number 0000019280, REGON statistical number: 000022378, VAT ID No.: 6450000090, share capital PLN 62,635,200.00 fully paid,

under conditions of the Merger Plan which, on the basis of art. 500 par. 2(1) of the Code of Commercial Companies, is available on the website www.kopex.com.pl free of charge for the public, continously starting from today, ie. 14 October 2016 until the date of closing the General Meeting which is to adopt the resolution on merger. Announcement of the Merger

Plan by the Acquiring Company in Court and Economic Monitor (Monitor Sądowy i Gospodarczy) is not necessary, pursuant to art. 500 par. 2(1) of the Code of Commercial Companies.

Due to the fact that the Acquiring Company holds all the shares of the Companies Being Acquired, the merger will be executed according to art. 515 of the Code of Commercial Companies, ie. without increasing the share capital of the Acquiring Company, on the basis of the so-called simplified procedure, under which the statements of the management boards of the merging companies justyfing the merger are not prepared, and the merger plan is not subject to review by a court expert.

The shareholders of the Acquiring Company will be able to familiarize with the documents reffered to in art. 505 par. 1 in conjunction with art. 516 of the Commercial Companies Code, at the Acquiring Company's registered office in Katowice (40-172), Grabowa 1, in the period from the date of publication of the first notice on intention of merger till the date of adoption of the resolution on merger, from 12:00 pm to 2:00 pm.
