Ladies and Gentlemen,

acting on behalf of the State Treasury - the shareholder of Powszechny Zakład Ubezpieczeń SA ("PZU SA", "Company"), pursuant to § 20(6) of the Articles of Association of PZU SA and § 21(2) and (3) of the Regulations of the General Meeting of Shareholders of PZU SA, I hereby propose the following candidates for members of the Supervisory Board of the Company:

Robert Jastrzębski, PhD DSc

Graduate of the Faculty of Law and Administration of the University of Warsaw. In 2001, he was awarded the degree of PhD in law and in 2009 the degree of Associate Professor. Since 2001, he has been affiliated with the Faculty of Law and Administration of the University of Warsaw. In 2019, he took up the position of professor of the University. Author of approximately 120 scientific publications, among others author, co-author, editor and co-editor of 10 book positions. Winner of awards and distinctions, including the Award of the Faculty of Law and Administration of the University of Warsaw for outstanding scientific achievements, the Team Award of the Rector of Warsaw School of Economics, the Distinction of the Rector of the University of Warsaw for activities that particularly contribute to the development and enhancement of the prestige of the University of Warsaw. Since 2015 Head of the Twentieth-Century Polish Law Laboratory and since 2019 Head of the Department of Administrative History. Member of, among others, the programme board of the journal "Studies in the History of the Polish State and Law" (2015), the editorial team of the journal " Scientific Papers of the Sejm's Office of Analyses" (2016), the programme board of the journal "Marketing and Market" (2019).

Marcin Kubicza

Graduate of the Faculty of Law and Administration of the University of Warsaw (2004) and the Institute of International Relations (2002) of the same university. Participant of the Executive Doctor of Business Administration programme at the Institute of Economic Sciences of the Polish Academy of Sciences (2012-2014).

He completed his prosecutor's apprenticeship concluded with passing the prosecutor's exam in 2008. Since 2008, Mr Marcin Kubicza has been listed as an advocate by the Bar Association in Kielce and since 2009 as a legal counsel by the Council of the District Chamber of Legal Counsels in Warsaw.

Mr Marcin Kubicza has many years' experience and practice in area management in large entities implementing legal support and service processes, as well as corporate governance, including in the capital group comprising entities of the banking, pension, property and life insurance sectors as well as in entities of the public finance sector responsible for management of the State budget funds.

By virtue of his managerial functions and powers, he acted as an attorney in court proceedings and before state administration authorities. He actively participated in M&A transactions and processes of restructuring and ownership transformations of companies.

Mr Marcin Kubicza is also active as the Chairman of the Council of the "Pocztowy Dar" Foundation - a non profit organisation performing charitable activities for the benefit of people in need as well as the institutions involved in providing assistance to such people.

Radosław Sierpiński, MD Associate Professor in Medical Sciences

Physician and manager, specialising in management in the medical sector, clinical research, HTA and science management. He has extensive experience in biotechnology research and development and has broad contacts with international scientific and healthcare management institutions. His areas of interest include in particular innovative technologies, management and commercialisation of research.

President of the Medical Research Agency.

Graduate of the First Medical Faculty of the Medical University of Warsaw. In June 2018, he obtained his PhD at the Institute of Cardiology in Warsaw. In 2019, he obtained the MBA in Medicine at Lazarski University in Warsaw. He is a graduate of the Oxford Executive Leadership Programme. He received his postdoctoral degree of Associate Professor in the medical sciences in 2021 on the basis of his scientific achievements. He is the author and co-author of dozens of scientific papers in the field of cardiology, public health and health care organisation, among others in The Lancet, Circulation, European Journal of Heart Failure. He provided lectures at Lazarski University as part of his MBA studies in health care and as a research fellow at Collegium Medicum UKSW.

He worked at the Institute of Cardiology in Warsaw and private healthcare units, as a physician and medical director. From 2018 to 2019, he acted as an advisor to the Minister of Health. From 2018- 2020, Member of the Council of the National Centre for Research and Development representing the Minister of Health and of expert teams to the Minister of Health and the Minister of Science and Higher Education. Until 2020, Chairman of the Social Council of the SCCHS in Zabrze and Vice- Chairman of the Social Council of the OW Mazowieckie NFZ. From 2019 to 2020, he was a member of the Supervisory Board of PZU Zdrowie and from 2019 to 2021 - a member of the Supervisory Board of Totalizator Sportowy.

Marcin Chludziński

Member of the Supervisory Board of PZU SA since 7 January 2016. Manager, President of the Management Board of the Gas Transmission System Operator - Gas-System SA. In 2018-2022, President of the Management Board of KGHM Polska Miedź SA, in 2016-2018, President of the Management Board of Agencja Rozwoju Przemysłu SA, earlier - member of the management boards and supervisory boards of commercial law companies. Graduate of the University of Warsaw. Specialises in restructuring, strategic development and business transformation.
