Sub: Resignation of Mr. Sunder Genomal as Managing Director and continue as Non-Executive Director

This is to inform that vide email dated 28th February 2022, Mr. Sunder Genomal has submitted his resignation from the position of Managing Director and will continue as Non-Executive Director. Mr. Sunder Genomal has expressed his willingness to continue to contribute to the Company's success and long-term growth in the capacity of Non-Executive Director. Resignation of Mr. Sunder Genomalfrom the office of MD was accepted by the Board of Directors through circulation and the Board has acknowledged the immense contribution made by him during his tenure as MD. The resignation will be effective from the close of business hours on 31st May 2022.

The Board has entrusted the responsibility of appointing the successor with the Nomination and Remuneration Committee (NRC) in line with the succession plan of the Company and in this regard, the NRC and Board meetings is being convened on 01st March 2022 with a shorter notice.

Dear Fellow Board Members,

The journey with Page Industries has been a major part of my life and I have thoroughly enjoyed every moment of this journey as a founder, promoter and Managing Director. I have cherished every milestone of the Company from the start of its operations in 1995.

Page has come a long way since then and is today on a very strong foundation well poised for continued growth. The Company is blessed with a passionate team that has inherited and embraced the ethos, culture, values and vision of the founders, a young team full of fresh thoughts and innovative ideas. I feel this is an opportune time for me to step down from the position of MD and transition to a new MD, who will lead the Company in its next phase of growth.

It is with a heavy heart that I leave the position of MD that I have held from the inception of Page Industries. But I will continue to serve the Page Board in the capacity of Non-Executive Director and contribute in whatever way I can to Page's success and long-term growth. I look forward to offering guidance as a mentor and sounding board on issues that are presented to the Board and being a companion to the Page team in their journey towards many more milestones. It is my desire to continue as the conscience keeper of Page Industries, as the custodian of its values, governance, ethical and moral principles and continue to oversee the interests of its stakeholders.

I would like to thank all the Board members present and past, PAGEians, Jockey International USA, Speedo UK, Distributors, Franchisees, Customers, Vendors, Investors, Government Authorities, Banks / Financial Institutions, Auditors and all stakeholders, without whom, I could not have discharged my duties effectively and efficiently. Also, my sincere thanks to our beloved consumers, for their love and faith towards our brands and our products.

As per the terms of my engagement, this communication may please be treated as my resignation from the position of MD. Accordingly, I will relinquish the position of MD and will become Non-Executive Director of the Company from the closing of business hours on 31st May 2022.

I also seek support of the Board to appoint my successor in-line with the Succession Plan of the Company.
