CHANGE TO THE BOARD OF DIRECTORS: RETIREMENT OF CHAIRPERSON AND APPOINTMENT OF CHAIRPERSON-DESIGNATE

In compliance with paragraph 3.59 of the JSE Limited ("JSE") Listings Requirements, the Board of Directors of Omnia ("the Board" or "the Directors") is pleased to announce the appointment of Ms Tina Eboka as Chairperson-designate. On 21 September 2022, Ms Eboka will succeed Mr Ralph Havenstein, who will be retiring from the Board following the Group's Annual General Meeting.

Ms Eboka has served as an Independent Non-executive Director of the Omnia Board for over six years and is a recognised and respected business leader. Her diverse experience extends across both the private and public sector, having served in various executive and non-executive roles across a number of industries. She holds a Master of Business Administration qualification and Bachelor of Science degrees in both Industrial and Textile Engineering from Philadelphia University as well as executive certificates from Harvard Business School and Georgetown University.

Mr Ralph Havenstein, Chairperson of Omnia Holdings, said: "It has been an honour for me to serve as a board member and, over the past three years, as Chairperson of the Group. Mr Havenstein was appointed as Chairperson in mid-2019; a time when the company was initiating its turnaround plan and journey to financial recovery. Seelan Gobalsamy, CEO of Omnia Holdings, said: "Ralph has been an astute and dedicated leader, demonstrating incredible resolve and decisiveness. He has been instrumental in guiding Omnia through what has been one of the company's most trying and uncertain times.
