Mittel S p A : Notice of termination of the shareholders’ agreement pursuant to Article 131, paragraph 4, letter b) of Issuers’ Regulation

Notice of termination of the shareholders' agreement pursuant to Article 131, paragraph 4,

letter b) of the Consob Regulation No. 11971/1999 (the "Issuers' Regulation").

Pursuant to Article 131, paragraph 4, letter b) of the Issuers' Regulations, notice is hereby given that the shareholders' agreement signed on July 17, 2018, and subsequently amended on July 27, 2018 and December 27, 2018 ("Shareholders' Agreement"), entered into by Seconda Navigazione S.r.l. ("Seconda Navigazione") and Fondazione Cassa di Risparmio di Trento e Rovereto ("Fondazione"), relating to: (i) Project Co-Val S.p.a. ("Project Co-Val"), as reference shareholder of Mittel S.p.a. ("Mittel"), a company with registered office at Via Borromei nr. 5, Milan, tax code, VAT number and registration with the Milan Register of Companies no. 00742640154 ("Mittel" or the "Issuer"), and (ii) the Issuer, whose ordinary shares are traded on EXM, was terminated with the effect as of February 28, 2023 following the exercise by Fondazione of the Put Option under the Shareholders' Agreement.

Until the date of its termination, the following were subject to the Shareholders' Agreement:

• the entire share capital of Progetto Co-Val, which was held, prior to the termination, by Seconda Navigazione for 83.178% and by Fondazione for the remaining 16.822% of the relevant share capital (held entirely by Seconda Navigazione after the termination);
• the provisions relating to the corporate governance of Progetto Co-Val and Mittel under the Shareholders' Agreement.

Therefore, as of the aforementioned date of February 28, 2023, the obligations provided for by Article 122 of the Consolidated Law on Finance (TUF) with reference to the Shareholders' Agreement ceased to apply to the shareholders.

The news concerning the termination of the Shareholders' Agreement will be disclosed to the public by publishing the notice on the national daily newspaper "Italia Oggi" and by filing the communication with the Milan Register of Companies.
