Mills Announces New Share Repurchase Plan
Rio de Janeiro, March 18, 2021 - Mills Estruturas e Serviços de Engenharia S.A.

(Companhia), in compliance with CVM Instruction nº 358/02, hereby informs its shareholders and the market that the Board of Directors, in a meeting held on this date, approved the 2º Repurchase Share Plan, authorizing the acquisition of shares issued by the Company to be held in treasury for future sale and/or to be canceled, without changing the Company´s capital stock, with the purpose of using (i) for the Company's Long-Term Incentive Programs, (ii) as a trading instrument with potential targets (M&A) (iii) for cancellation of part of the repurchased shares to maximize value generation for shareholders and improve the Company's capital structure, in the following terms and in accordance with Annex A of the minutes of the Board Meeting held on today's date:
a) the amount of shares that can be acquired is up to 7,558,687 shares, which correspond to 6.51% of the shares outstanding on this date;
b) the duration of the share buyback program is of 18 months, which will run from March 18, 2021 until September 16, 2022, inclusive;
c) the shares will be acquired at B3 t market price; and
d) the financial institutions that shall intermediate the buyback are: (i) XP Investimentos Corretora de Câmbio, Títulos e Valores Mobiliários S.A, headquartered in the City of São Paulo, State of São Paulo, at Avenida Brigadeiro Faria Lima, 3600 - 10º floor, ZIPCODE 04538-132, CNPJ/MF n.º 02.332.886/0001-04; (ii) BTG Pactual Corretora de Títulos e Valores Mobiliários S.A., headquartered in the City of São Paulo, State of São Paulo, at Avenida Brigadeiro Faria Lima 3.477, 14º floor, ZIPCODE 04538-133, CNPJ/MF n.º 43.815.158/0001-22 and (iii) Itaú Corretora de Valores S.A., headquartered in the the City of São Paulo, State of São Paulo, at Avenida Brigadeiro Faria Lima 3.500, 3º floor, parte, ZIPCODE 04538-132, CNPJ/MF n.º 61.194.353/0001-64.
