MCB : Declaration of Dividend

COMMUNIQUE

PREFERENCE SHARES DIVIDEND

NOTICE is hereby given that the board of directors (the "Board") of MCB Group Limited (the "Company") has declared a dividend of MUR 0.235 per Preference Share for the period from 1st July 2022 to 31st December 2022.

Payment thereof will be effected on or about 30th December 2022 to all Preference Shareholders registered at the close of business on 2nd December 2022.

Consequently, the Preference Shares of the Company will be quoted cum dividend from the 29th September 2022 to 29th November 2022 and ex dividend as from 30th November 2022.

OPTION TO CONVERT PREFERENCE SHARES

Holders of Preference Shares are further informed that they may exercise their option to convert any or all of their Preference Shares into Ordinary Shares of the Company as per the terms of the prospectus dated 23rd December 2019.

The option applies to holders of Preference Shares as at the record date on 24th November 2022 to whom a Conversion Notice providing relevant details will be sent on or about 1st December 2022.

The share conversion reference price will be published on or about 22nd November 2022.

The shareholders and the investing public are advised to exercise caution when dealing in the shares of the Company.
