MEMORANDUM OF UNDERSTANDING

IN RELATION TO THE POSSIBLE ACQUISITION

EXTENSION OF THE LONG STOP DATE

Reference is made to the announcement of Kingkey Financial International (Holdings) Limited (the "Company") dated 21 February 2021 in relation to, among others, the MOU in relation to the Possible Acquisition (the "Announcement"). Unless otherwise defined herein, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement

Pursuant to the MOU, the parties to the MOU shall negotiate in good faith towards one another in ensuring the Final Agreement be entered into as soon as possible and in any event, on or before the date falling two (2) months from the date of the MOU, or such later date as the parties to the MOU may agree (the "Long Stop Date").

As additional time is required for the Company to conduct due diligence on the Target Company, on 22 April 2021, the Company and the Vendor have agreed in writing to extend the Long Stop Date for entering into the Final Agreement to on or before 30 June 2021 or such later date as the parties to the MOU may agree.

Save as disclosed above, all the other terms and conditions of the MOU remain unchanged and shall continue in full force and effect.

The Board wishes to emphasize the Possible Acquisition may or may not proceed, and Shareholders and potential investors of the Company are advised to exercise caution when dealing in the Shares.
