BOARD OF DIRECTORS' RESOLUTION ON CORPORATE GOVENRNANCE
Milan, 30 April 2024 - Italian Wine Brands S.p.A. (the "Company" or "IWB") announces that the new Board of Directors of the Company, appointed today by IWB Shareholders' Meeting, met today to approve the following resolutions on corporate governance.
The Board of Directors confirmed Mr. Alessandro Mutinelli as President of the Board of Directors and Mr. Giorgio Pizzolo as Vice President of the Company, attributing to them the respective delegations and powers.
The same Board also confirmed Mr. Alessandro Mutinelli as CEO of the Company, granting him specific powers.
In compliance with the provisions of the art. 6-bis of the Euronext Growth Milan Issuers Regulation, the Board of Directors has also ascertained - on the basis of the information available and the declarations made by the Director concerned - the existence, by the Director Antonella Lillo, of the independence requirements referred to in art. 148, paragraph 3, of Legislative Decree 58/1998, as referred to in the art. 16 of the IWB Articles of Association, also taking into account the provisions of the "Policy regarding qualitative and quantitative criteria for the purposes of assessing the independence requirements pursuant to art. 6-bis of the Issuers' Regulations of the Euronext Growth Milan market", approved by the IWB Board of Directors on 18 March 2024.
