NOTICE TO SHAREHOLDERS OF INWIT S.P.A.

(PURSUANT TO ARTICLE 84 OF CONSOB REGULATION 11971/1999)

The shareholders of INWIT S.p.A, representing at least 5% of the share capital, with a request addressed to INWIT, within 8 days from the filing of the merger plan on 4 August 2023, may request, pursuant to art. 2505, paragraph 3, of the Italian Civil Code, that the decision to approve the merger by incorporation into INWIT S.p.A. of the subsidiary 36 Towers S.r.l. be adopted by the Extraordinary Shareholders' Meeting of INWIT, instead of by the Board of Directors, pursuant to art. 2505, paragraph 2, of the Italian Civil Code and art. 18.2 of the Bylaws. Such request must be accompanied by the certification proving the ownership of the shares and addressed by certified electronic mail (PEC) to adminpec@inwit.telecompost.it (ref.to Corporate Affairs) or by registered mail with return receipt to INWIT S.p.A. - Funzione Legal & Corporate Affairs, Piazza Trento n. 10 - 00198 Rome.

It is hereby announced that the plan of merger and the 36 Towers interim financial statements as of June 30, 2023 is available to the public at the storage mechanism "1INFO"

It is hereby announced that the Half-Yearly Financial Report at 30 June 2023 of INWIT (together with the report issued by the independent auditors) is available to the public at the registered office of the Company and at storage mechanism "1INFO" (www.1info.it).
