NOTICE OF THE DEPOSIT AND PUBLICATION OF THE 2023 ANNUAL FINANCIAL REPORT AND

THE DOCUMENTATION FOR THE SHAROLDER'S MEETING ON MAY 24, 2024

Sant'Agata Feltria (Rimini), 24 April 2024 - Indel B S.p.A. - a company listed on the Borsa Italiana EXM and parent company of a group that operates in the manufacture of cooling systems for mobile and mobile living for the automotive, hospitality and leisure time markets (pleasure boats and recreational vehicles) - with reference to the Shareholders' Meeting convened for May 24, 2024, announces that, today, they have been made available to the public, at the Company's registered office, on the website of Indel B S.p.A. athttps://www.indelbgroup.com/it/assemblea-azionisti,as well as on the storage mechanism authorised by Consob called "1info" (www.1info.it), the following documentation and reports:

1. the illustrative reports of the Board of Directors, as per Article 125-ter T.U.F. and Article 84-ter Consob Regulation 11971/1999, regarding to items 1, 2, 3 and 4 on the agenda of the aforementioned Shareholders' Meeting;
2. the annual financial report, including the statutory financial statements and the consolidated financial statements at December 31, 2023, the Directors' report including the non-financial report prepared as per Legislative Decree 254/2016 and the statement as per Article 154-bis of the TUF, the Board of Statutory Auditors' report, prepared in accordance with Article 153 of the TUF, and the certification oh the independent audit firm on the financial statements and consolidated financial statements of Indel B S.p.A, as well as on the non-financial statement.

The financial statements and/or summary tables of the subsidiaries and associated companies of Indel B S.p.A., in compliance with the provisions of art. 2429 of the Civil Code are available to the public at the registered office.
