The Board of Directors of Il Sole 24 ORE S.p.A.: Chiara Laudanna co-opted to replace the non-independent non-executive director Alessandro

Milan, 27 March 2024 - Il Sole 24 ORE S.p.A., following up on the press release dated 18 March 2024 concerning the resignation of Mr. Alessandro Tommasi from the position of non-independent non-executive Director of Il Sole 24 ORE S.p.A. effective as of the end of the Il Sole 24 ORE S.p.A. Board of Directors meeting held today, announces that today the Board of Directors co-opted Ms. Chiara Laudanna as non-executive Independent Director, effective as of the end of that meeting, at the proposal of the Appointments and Remuneration Committee and with a resolution approved by the Board of Statutory Auditors.

Ms. Chiara Laudanna, who was first appointed by the Shareholders' Meeting on 27 April 2022 and resigned effective 10 November 2022 due to professional commitments outside the 24 ORE Group that she was about to undertake and that would not have allowed her to also hold the position of Company Director at that time, which today are no longer relevant, has gained robust, extensive and significant experience in the various roles she has held in the area of technological innovation, digital transformation and strategic and organisational management. Ms. Chiara Laudanna, in accordance with the provisions of the Articles of Association and in the absence of available unelected candidates from the list to which both Mr. Alessandro Tommasi and Ms. Chiara Laudanna herself belonged, was co -opted in accordance with ordinary provisions of law. This list had been filed by the Shareholder Confindustria for the election of the members of the Board of Directors and had obtained the highest number of votes at the Shareholders' Meeting of 27 April 2022.

At the same meeting, the Board of Directors confirmed the continuing and current fulfilment of all requirements that must be met to hold these offices, including the fulfilment of the independence requirements set forth under applicable provisions of Law, the Corporate Governance Code and the Board of Directors Regulation. Pursuant to Article 2386 of the Italian Civil Code and the Articles of Association in force, the new Director will hold office until the next Shareholders' Meeting.

Based on the communications made to the Company, Ms. Chiara Laudanna did not hold, at 27 March 2024, directly and/or indirectly, any ordinary and/or special category shares of the Company.
