ORDINARY RESOLUTION

Appointment of Shri S. Bharathan (DIN: 09561481) as a Director of the Company

To consider and if thought fit, to pass the following Resolution as an Ordinary Resolution:

pursuant to the provisions of Sections 149, 152, 161 and other applicable

provisions, if any, of the Companies Act, 2013 Companies (Appointment and

Qualification of Directors) Rules, 2014, and further amendments thereto from time to time (including any statutory modification(s) or re-enactment(s) thereof, for the time being in force), relevant applicable regulation(s) of the SEBI (Listing Obligations and Disclosure

Requirements) Regulations, 2015 and also the provisions of the Articles of Association of the Company, Shri S. Bharathan who was appointed by the Government of India as Director Refineries (Whole Time Director) of the Company and was also appointed as an Additional Director by the Board of Directors of the Company with effect from October 01, 2022 and for whose appointment, approval of the Members of the Company is required to be taken before the next General Meeting under the provisions of the Act or within a period of 3 months from the date of appointment in line with the applicable provision of the SEBI LODR, 2015, whichever is earlier, and in respect of whom the Company has received a notice in writing from a Member proposing his candidature for the Office of Director, be and is hereby appointed as a Dire
