ANNOUNCEMENT

For the Merger by absorption of the 100% subsidiary "FITCO METAL WORKS SINGLE MEMBER S.A."

Τhe company under the trade name "ELVALHALCOR HELLENIC COPPER AND ALUMINIUM INDUSTRY S.A." (hereinafter referred to as "ELVALHALCOR") announces to the investment community that, the Boards of Directors of the companies "ELVALHALCOR HELLENIC COPPER AND ALUMINIUM INDUSTRY S.A." and its 100% subsidiary «"FITCO METAL WORKS SINGLE MEMBER S.A." (hereinafter referred to as "FITCO"), as per their decisions, on 14/5/2021, decided the commencement of preparatory activities for the merger by absorption of "FITCO" by "ELVALHALCOR", according to the provisions of L. 4601/2019, of L. 4548/2018 and L. 4172/2013, as in force. In order to complete the above mentioned merger by absorption, the two parties prepared the merger agreement scheme dated 19/5/2021, which was submitted to G.Ε.ΜI. website on 20/5/2021. The business transformation will be completed in the second half of 2021 and "ELVALHALCOR" will keep the investors updated on any developments.
