Daisy Corporate Services Trading Limited agreed to acquire ECSC Group plc for £5.4 million on March 31, 2023. Shares will be acquired at £0.5402 per share. ECSC unanimously recommends offer to shareholders and will support it with their shares. Daisy has now received confirmation that the Secretary of State has determined that no further action will be taken under the NS&I Act. Daisy is therefore pleased to confirm that this condition has now been satisfied. ECSC can now confirm that the Court Sanction Hearing has been scheduled for June 20, 2023. As of May 24, 2023, the transaction has been approved by the target shareholders. As of June 20, 2023, the Boards of Daisy and ECSC are pleased to announce that the High Court of Justice in England and Wales has today made an order sanctioning the scheme. The scheme of arrangement is expected to come into effect in June. The scheme will become effective upon the delivery of a copy of the Court Order to the Registrar of Companies, which is expected to occur on June 22, 2023.
