RESIGNATION OF JOINT COMPANY SECRETARY

AND CHIEF FINANCIAL OFFICER

The board of directors (the "Board") of Cosmos Machinery Enterprises Limited (the "Company") announces that Mr. Yeung Yuk Lun ("Mr. Yeung") has tendered his resignation as a joint company secretary of the Company and a chief financial officer of the Group, both with effect from 17 May 2019. After his resignation of the aforementioned positions, Mr. Yeung will continue to act as a consultant on finance and compliance matters until the end of the expiry day of his resignation notice.

Mr. Yeung has confirmed that he has no disagreement with the Board and there is no matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited.

Following the resignation of Mr. Yeung, Ms. Man Wing Yan, the other joint company secretary of the Company, will remain in office and act as the sole company secretary of the Company. The Company is currently identifying suitable candidate to fill the vacancy of the chief financial officer of the Group.

The Board would like to express its gratitude to Mr. Yeung for his contributions to the Company during his tenure of service.

As at the date of this announcement, the Board is comprised of ten directors, of which four are executive directors, namely Mr. Tang To, Mr. Wong Yiu Ming, Mr. Tang Yu, Freeman and Mr. Mei Zheqi and two are non-executive directors, namely Mr. Kan Wai Wah and Mr. Qu Jinping and four are independent non-executive directors, namely Ms. Yeung Shuk Fan, Mr. Cheng Tak Yin, Mr. Ho Wei Sem and Mr. Huang Zhi Wei.
