DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcement of China Haisheng Juice Holdings Co., Ltd. (the "Company") dated 3 January 2020 (the "Announcement") in relation to the renewal of continuing connected transactions contemplated under the 2020 Framework Agreement. Unless otherwise defined herein, capitalized terms used in this announcement shall have the same meanings as those defined in the Announcement.

As disclosed in the Announcement, a circular (the "Circular") containing, among other things, (i) further details of the transactions contemplated under the 2020 Framework Agreement and the Annual Cap;

1. the letter from the Independent Board Committee to the Independent Shareholders; (iii) the letter of advice from the Independent Financial Adviser to the Independent Board Committee and the Independent Shareholders; and (iv) the notice of Extraordinary General Meeting, is expected to be despatched to the Shareholders on or before 31 January 2020.

As addition time is required for the company to finalise certain information in the Circular, the dispatch date of the Circular is expected to be delayed to a date on or before 14 February 2020.
