COMUNICATO STAMPA

Milano, 21 novembre 2018 - Si dà atto che, in data odierna, i membri della Famiglia Doris - e, segnatamente, il Signor Ennio Doris, la Signora Lina Tombolato, il Signor Massimo Antonio Doris e la Signora Annalisa Sara Doris - hanno dato corso alla modifica delle convenzioni di voto sulle azioni da essi detenute, rispettivamente in FINPROG ITALIA S.p.A. ("FINPROG") e in Banca Mediolanum S.p.A. (la "Banca"), in esecuzione di quanto previsto dal patto parasociale sottoscritto tra i predetti soggetti in data 20 dicembre 2017, di cui verrà data apposita comunicazione ai sensi di legge.

In particolare, sono stati riallocati, a titolo gratuito, i diritti di voto su n. 9.073.120 azioni di FINPROG, sino ad ora in capo, complessivamente, agli usufruttuari Signori Ennio Doris e Lina Tombolato. Tali diritti di voto spettano ora alle azioni di FINPROG rispettivamente detenute in nuda proprietà dal Signor Massimo Antonio Doris (per n. 4.536.585 azioni) e dalla Signora Annalisa Sara Doris (per n. 4.536.535 azioni).

Parimenti, sono stati riallocati a titolo gratuito i diritti di voto spettanti su n. 46.260.000 azioni della Banca in favore degli usufruttuari delle stesse Signori Ennio Doris e Lina Tombolato, con contestuale riduzione della percentuale di diritti di voto spettanti nella Banca a FINPROG, pari ora al 20,1357% del capitale sociale della Banca.

Si dà altresì atto che, per effetto della riallocazione dei diritti di voto relativi alle azioni della Banca e della conseguente riduzione dei diritti di voto in capo a Fin.Prog., si è reso necessario integrare il numero di azioni di competenza della Famiglia Doris da vincolare al patto di sindacato stipulato in data 14 settembre 2016 tra Fininvest S.p.A. e FINPROG su una quota rappresentativa, alla data odierna, del 50,938% del capitale azionario della Banca1, di cui verrà data apposita comunicazione ai sensi di legge.

1 Si ricorda che tale patto di sindacato è, allo stato, non operativo a seguito della Decisione della Banca Centrale Europea (BCE) del 25 ottobre 2016, che ha comportato "l'automatica sospensione dei diritti di voto inerenti alla partecipazione oggetto del provvedimento della BCE" eccedenti la soglia del 9,99%. Tale Decisione è stata impugnata da Fininvest S.p.A. innanzi alla Corte di Giustizia dell'Unione Europea in data 23 dicembre 2016 ed il relativo giudizio è tuttora pendente.

Milan, November 21, 2018 - As of today, the members of the Doris Family and, namely, Mr. Ennio Doris, Mrs. Lina Tombolato, Mr. Massimo Antonio Doris and Mrs. Annalisa Sara Doris, amended the agreements regarding the voting rights on the shares held by them respectively in FINPROG ITALIA S.p.A. ("FINPROG") and in Banca Mediolanum S.p.A. (the "Bank"), implementing the provisions of the shareholders' agreement entered into between the aforementioned parties on December 20, 2017, which will be made available to the public in accordance with law.

In particular, the voting rights on no. 9,073,120 shares of FINPROG - that as of today pertained to the beneficial owners Mr. Ennio Doris and Mrs. Lina Tombolato - have been reallocated gratuitously. These voting rights now belong to FINPROG's shares held in bare ownership respectively by Mr. Massimo Antonio Doris (as to no. 4,536,585 shares) and by Mrs. Annalisa Sara Doris (as to no. 4,536,535 shares).

In addition, the voting rights on no. 46,260.000 shares of the Bank have been reallocated gratuitously in favor of the beneficial owners Mr. Ennio Doris and Mrs. Lina Tombolato, with a simultaneous decrease of the percentage of voting rights held by FINPROG in the Bank now equal to 20.1357% of the share capital of the Bank.

As a result of the reallocation of voting rights relating to the Bank's shares and the consequent decrease of the voting rights held by FINPROG, it was deemed necessary to supplement the number of shares held by the Doris Family that are subject to the shareholders' agreement entered into on September 14, 2016 between Fininvest S.p.A. and FINPROG and regarding a share representing - as of the date hereof - 50.938% of the share capital of the Bank 1; proper notice regarding this integration will be made available to the public in accordance with law.

1 It should be noted that such shareholders' agreement is at the date hereof non operative following the Decision of the European Central Bank dated October 25, 2016, which stated "the automatic suspension of the voting rights pertaining to the participation subject to the ECB measure" exceeding the 9.99% threshold. Such Decision was challenged by Fininvest S.p.A, before the Court of Justice of the European Union. The judgment is still pending.
