Mr. Axelrad specializes in all aspects of the formation and operation of venture capital and other private equity funds, with a particular emphasis on issues involving partnerships, limited liability companies, tax, the Employee Retirement Income Security Act (ERISA), the Investment Advisers Act (IAA), and the Freedom of Information Act (FOIA).
He also has extensive experience in the areas of international fund structures and "market" terms and conditions.
His practice has been devoted almost exclusively to fund services since 1996.
Mr. Axelrad writes and lectures frequently on venture capital, tax, partnership, and limited liability company issues.
He has also been engaged as an expert witness in matters concerning the structure and operation of venture capital funds.
In 2001, he designed the Document Access and Subscription System (DASS), a Web-based tool that facilitates the private placement of investment fund interests.
DASS is available exclusively to Wilson Sonsini Goodrich & Rosati clients.
Mr. Axelrad received his JD from Yale Law School in 1987, and his BA in Philosophy from Wesleyan University in 1984.
