JOINING THE NATIONAL INNOVATION ALLIANCE OF IOT

AND AI FOR FORESTRY APPLICATION

This is a voluntary announcement made by Trigiant Group Limited (''Company'', together with its subsidiaries, the ''Group'' or ''we'').

The board (''Board'') of directors (''Directors'') of the Company is pleased to announce that on 17 March 2019:

(1) Jiangsu Trigiant Technology Co., Ltd. () (''Trigiant

Technology''), an indirect wholly-owned subsidiary of the Company, became a member unit involved in the establishment of the National Innovation Alliance of IoT and AI for Forestry Application ( )( ''Alliance'') which is approved by National Forestry and Grassland Administration () and led by the Research Institute of Forest Resources Information Technique ( )( ''Resources Institute'') and Mr. Qian Lirong, executive director and chairman of the Board, was elected as a vice chairman of the Alliance; and

(2) Trigiant Technology entered into a strategic cooperation framework agreement

(''Framework Agreement'') with certain members of the Alliance, namely the Resources Institute and China Telecom Corporation Limited, Wuxi Branch* ( )( ''China Telecom Wuxi'').

To the best of the Director's knowledge, information and belief having made all reasonable enquiries, other members of the Alliance and their respective ultimate beneficial owners are independent third parties independent from the Company and its connected persons (as defined under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited).

Information about the Alliance

Under the guidelines for new-era forestry modernisation, the Alliance strives to explore collaboration with various entities, including forestry research institutions, teaching and learning organisations, production and planning units, and high-tech enterprises, to advance the development of basic theories and innovative applications of internet of things (IoT) and artificial technology (AI) for forestry resources.

The members of the Alliance comprised of the Resources Institute, Trigiant Technology, China Telecom System Integration Co., Limited (), national scientific research institutions, universities, and high-tech enterprises focused on IoT and AI applications.

Subject matter of the Framework Agreement

Trigiant Technology, the Resources Institute, and China Telecom Wuxi will explore extensive collaboration on various aspects, including the targeted enhancement of forestry quality through the combination of 5G, IoT, big data, and cloud computing technologies, as well as provision of effective ecosystem products and comprehensive solutions. In this regard, Yixing, PRC is identified as the pilot zone for specific practices and applications, where the parties so involved will strive to build the pilot project into a role model of the smart forestry powered by ''internet+'' for the Yangtze River delta region and even across the country. This pilot project will also cover various intellectual property rights, such as industry case studies, related standards, and patents. They will strive to showcase their joint achievements at the World IoT Expo 2019 in September 2019, and promote their joint achievements across the country to strengthen their industry influence.

Reasons and benefits

The Directors are of opinion that with the establishment of the Alliance and the entering into of the Framework Agreement, the Group can engage in scientific research collaborations with various national scientific research institutions, universities, and high-tech enterprises focused on IoT and AI applications, allowing the Group to expedite the extensive application of IoT and AI technologies, as well as to enhance the capability of the Company to research and develop the comprehensive technical solutions for the vertical areas during the 5G era. Looking into the 5G era, the forestry, transportation, electricity, energy, water conservation, smart manufacturing, and other areas will witness exponential growth in data and information connection, while high bandwidth, lower delay and localization will play an important role in extending to edge computing used in the network edge. As a result, the construction of the 5G network edge cloud will represent the general model in vertical industrial applications. In response to the national development strategy, this collaboration will capture the development opportunities from the development of IoT-powered forestry, and tap into the achievements made by national scientific research institutions/universities in the IoT and AI field, so that the Group will further enhance its capability to integrate the advanced telecommunication technology with the latest application scenes and establish the benchmark of integrated solutions, which will lay a solid foundation for the future development of the Group. The research team of the Group has been making efforts to negotiate with the Resources Institute and to showcase our research results. The Group was finally invited to become a founding member of the Alliance and Mr. Qian Lirong, executive director and chairman of the Board, was elected as a vice chairman of the Alliance, both ofwhich have proven the Group's industry leadership. We are confident about the prospect of collaboration with the Alliance on various areas, including informatization for forestry management, IoT technologies, and AI applications, and edge computing and which is in sync with the telecommunications operators and actively deployed in the edge field, ''IoT Smart Forestry'' is one of the priorities of the Group's future layout, allowing us to further expand to other vertical areas. The Group expects this cooperation to contribute to the development of national research applications, to bring substantial financial returns and to enhance the overall shareholder value of the Company.
