Florence, May 20, 2021 The Board of Directors of Toscana Aeroporti S.p.A., appointed by

the General Meeting held on May 18, 2021, met today to appoint the corporate boards and grant the relevant management powers, as set forth by the By-laws in force and the 2020 Corporate Governance Code, adopted by the Company.

The Board of Directors confirmed Marco Carrai as Chairman of the Board of Directors

and Roberto Naldi as theChief Executive Officer, including for the purposes of the 2020 Corporate Governance Code. In light of the powers granted, Chairman Marco Carrai and Chief Executive Officer Roberto Naldi are Executive Directors.

Director Stefano Bottai was appointed Deputy Chairman of the Company.

Based on the available information and the declarations rendered by the relevant members, the Board of Directors assessed that Directors Elisabetta Fabri, Antonella Mansi, Giorgio De Lorenzi, Patrizia Pacini, Mirko Romoli Fenu, Claudio Bianchi, Nicoletta De Francesco and Cristina Martelli meet the independence requirements pursuant to Legislative Decree No. 58/1998 and the 2020 Corporate Governance Code. In addition, the Board of Directors assessed that Director Stefano Bottai meets the independence requirements pursuant to the 2020 Corporate Governance Code and that Director Saverio Panerai meets the requirements pursuant to Legislative Decree No. 58/1998.

The Board of Statutory Auditors verified that the Board of Directors duly applied the verification criteria and procedures to assess the independence of its members.

Executive Committee: Marco Carrai (Chairman), Roberto Naldi, Mariano Andres Mobilia Santi, Antonella Mansi and Claudio Bianchi.

Control and Risk Committee and Related Party Transaction Committee: Stefano Bottai, Mirko Romoli Fenu and Patrizia Pacini.

Appointments and Remuneration Committee: Stefano Bottai, Elisabetta Fabri and Gino Mannocci.

Members of the Supervisory Body pursuant to Legislative Decree No. 231/2001 confirmed: Edoardo Marroni, external member acting as Chairman, Michele Giordano, external member, and Nico Illiberi, TA Legal & Compliance Director, as internal member.

The Board of Directors confirmed Marco Gialletti as Director responsible for financial reporting.

Change to the 2021 Financial Calendar

As partial amendment to the 2021 Financial Calendar issued on December 18, 2020, this is

year Financial Report at June 30, 2021 will be held on September 8, 2021, instead of August 4, 2021.
