Minutes of the Meeting of the Board of Directors, held on February 11th, 2016

EXAMINATION AND DISCUSSION OF THE RESULTS FROM THE 3RD QUARTER OF THE FISCAL YEAR ENDING MARCH 31, 2016.

DATE, TIME AND PLACE: February 11th, 2011, at 10:30 p.m., at the Company's head office in the City of São Paulo, State of São Paulo, at Avenida Brigadeiro Faria Lima, 201, 11th floor, ZIP code 05426-100, Pinheiros.

ATTENDANCE: All the members of the Board of Directors of the Company were present or participated in the meeting by telephone or videoconference and by sending a vote in writing, as allowed by Article 18 of the Company Bylaws, or were represented by their proxies.

CALL NOTICE: The call notice was waived because all the members of the Board of Directors of the Company appeared, under Law 6,404 of December 15, 1976, as amended ("Brazilian Corporate Law"), and allowed by the Company Bylaws.

PRESIDING BOARD: Chairperson: Alexis Duval; Secretary: Marcus Erich Thieme.

AGENDA: Examination and discussion of the results from the 3rd quarter of the fiscal year ending March 31, 2016.

RESOLUTIONS: The following items were presented, examined and discussed:

(a) the progress of the harvest for the following activities (i) sugarcane and cereals in Brazil; (ii) sugarcane in Africa/Indian Ocean; (iii) cereals in Europe; and (iv) cereals in China and Indonesia and (b) the Company's financial results in regard to the third quarter of the current fiscal year.

CLOSING AND PREPARATION OF THE MINUTES: There being nothing further to be dealt with, the floor was offered to anyone who wanted to make a statement and, since no one did, the work was declared completed, these minutes were

prepared, read and approved by all those present and signed.

MEMBERS PRESENT: Alexis Duval; Thierry Lecomte; Denis Lecart; Gérard Clay; Martial Bertrand; Olivier Casanova; Jeremy Austin and Philippe Chaudru de Raynal.
