SOMOS EDUCAÇÃO S.A. ("Company") informs that:

On May 19th, 2016, Thunnus Participações S.A., in the capacity of controlling shareholder of the Company, requested to B3 - Brasil Bolsa Balcão ("B3") the extension of the term for compliance with the minimum percentage of free float shares issued by the Company ("free float"), which was granted by B3 in return for the adoption of certain corporate governance measures by the Company, that were and continue to be adopted.

On June 20th, 2018, as a result of the execution of the Share Purchase and Sale Agreement and Other Covenants for the acquisition, by Saber Serviços Educacionais Ltda. ("Saber"), a company indirectly controlled by Kroton Educacional S.A., of shares that represent the share control of the Company ("Transaction"), which shall bring to Saber - after the consumption of the Transaction (which continues to be subject to certain conditions precedent, among which the approval by Conselho Administrativo de Defesa Econômica - CADE) - the obligation to perform a public tender offer of shares as a result of such transfer of control (article 254-A of Law 6,404/76) ("PTO"), a new request was made to extend the term for the Company to comply with the free float percentage, due to the Transaction, and based on article 11, III, "b" of the Regulation.

On July 12th, 2018, B3 authorized the Company to maintain, temporarily, the free float shares below the percentage of 25 (as required by the applicable regulation) until the PTO. Additionally, after the auction of the PTO, a term of 18 months shall be automatically granted for the Company to comply with the minimum free-float percentage, in accordance with Novo Mercado Listing Regulation. The referred authorization of B3 is conditioned to maintaining a free float percentage of, at least, 23,75% of the Company's share capital.
