About the Business
QuiteJá is a specialist in recovering credits from third parties. Its solutions have been changing the negotiation of debts in Brazil, through (i) high digitalization level, recovering huge volumes of credit in a totally digital way, and (ii) high level of humanization in customer service, being recognized by its great reputation in Reclame Aqui1.
The acquisition by the Company of equity interest in QuiteJá opens the path to a new market of operation that drives billions of reais per year and reinforces the portfolio of products of the Sinqia Digital unit. The company registered net revenue of R$ 20.3 million and EBITDA of R$ 5.4 million in the twelve months ended in June 2021.
About the transaction
The acquisition price will be up to R$ 38.25 million, consisting of a cash installment of R$ 19.125 million, to be paid at closing, and R$ 19,125,000.00 in shares, delivering 1,016,638 shares issued by the Company acquired through the 6th Buyback program.
The execution of the agreement for the acquisition was authorized by the Board of Directors of the Company and the ratification of the transaction will be submitted to General Meeting, to be called in the future, pursuant to Art. 256 of Law 6,404/76. The closing is subject to the obligations of usual conditions in this type of transaction.
