Notice of Changes of Representative Directors
The Company hereby announces that, at a meeting of the Board of Directors held today, it has informally resolved to change the Representative Directors as follows.
The formal decision will be made after the 4th Ordinary General Meeting of Shareholders (14th term) and the meeting of the Board of Directors scheduled to be held on June 29, 2023.
1. Reason for Changes
Since the management integration in April 2019, the Restar Group has pursued business based on the spin-off structure with the Company as a pure holding company under the vision of "We aim to be the "Electronics Value Platformer" that accommodates all manner of stakeholder needs" with a mission that is "We help society evolve by leveraging information and technology to create and deliver new value and services." At the same time, the business environment surrounding the Group has been changing dramatically, and we consider rebuilding the management base to be important in order to achieve further growth. The Company has decided to transition from a pure holding company to an operating company (planned for April 1, 2024) in order to accomplish the business restructuring to realize the Company's vision based on a medium- to long-term future orientation.
Kunihiro Konno will serve as Representative Director Chairman and President CEO in order to complete the business restructuring under strong leadership. Moreover, in order to drive business restructuring forward, Tomoharu Asaka will service as Representative Director CFO while Hideya Yamaguchi and Hiroaki Konno, who are responsible for the businesses to be restructured, will join the Board as Representative Directors. Under the new management structure, the Company will promote the establishment of the optimal structures for each business and function in addition to optimizing the allocation of human resources and other management resources and working to transform the earnings structure. At the same time, the Company will speed up decision-making, manage businesses flexibly, and expand businesses through M&A, with the aim of increasing the Group's corporate value over the medium to long term.
