Dear Sir/ Ma'am,

This is in continuation of the earlier disclosures submitted by the Company, dated February 23, 2022 and November 17, 2022, in terms of Regulation 30 and other applicable regulations of the Securities Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015. In this regard, please be informed that the enclosed Detailed Public Statement ("DPS") has been issued by the Manager to the Open Offer, representing 25.02% of fully diluted voting share capital of the Company from all the Public Shareholders (as defined in the DPS) of the Company by Pegasus Holdings III, LLC, ("Acquirer") together with Pegasus Parent, L.P. ("PAC 1"), Federal-Mogul Holdings, Ltd. ("PAC 2") and Tenneco Inc. ("PAC 3") and PAC 1, PAC 2 and PAC 3 are collectively referred to as the "PACs" as the persons acting in concert with the Acquirer.

This disclosure is given pursuant to the intimation received from the Manager to the Offer for and on behalf of the Acquirer and the PACs as attached herewith.
