ECOMEMBRANE S.P.A. SELLS ITS STAKES IN ALVUS AND FAVUS TO VORN

BIOENERGY GMBH

The agreement provides for the occurrence of certain conditions precedent before

the closing

Gadesco Pieve Delmona (CR), August 9th, 2023 - Ecomembrane S.p.A. (hereafter "Ecomembrane" or the "Company", ISIN IT0005543332), leading company in the design and construction of gas storage and containment systems for the production of green energy, listed on the EGM segment of Borsa Italiana S.p.A., announces to have signed with VORN Bioenergy GmbH, a company governed by the German law and active as biomethane producer and project developer, with registered office in Regensburg, together with other sellers, a preliminary contract for the sale of shares concerning:

1. the shares held by Ecomembrane in the share capital of Alvus S.r.l. (hereafter "Alvus"), with registered office in Bolzano (BZ), and equal to 18.9466% of the share capital of Alvus , as well as (ii) the shares held by Ecomembrane S.p.A. in the share capital of Favus S.r.l. (hereafter "Favus")with registered office in Bolzano (BZ), and equal to 18.9466% of the share capital of the same Favus.

Alvus, together with the associated company Favus, is a company active in the project development of plants for the production of gas from renewable sources. The investments in Alvus and Favus are recorded in the Company's financial statements for a total amount of Euro 203 thousand and the sale of its shares, at a price of approximately Euro 765 thousand, will allow the company to realize a capital gain of Euro 562 thousand. The price also provides for market standard positive and negative adjustments in line with similar transactions.

The agreement, in addition to providing a set of declarations and guarantees, provides for the occurrence of certain conditions precedent before the closing, expected by the end 2023,
