Item 8.01 Other Events.
As previously disclosed in a Current Report on Form 8-K filed by Continental
Resources, Inc. (the "Company") on December 22, 2021, on December 21, 2021 the
Company completed its previously announced acquisition of oil and gas assets and
properties from certain subsidiaries of Pioneer Natural Resources Company
pursuant to a purchase and sale agreement in which the Company purchased: (i)
100% of the issued and outstanding limited liability company interests of Jagged
Peak Energy LLC, which in turn owns 100% of the issued and outstanding limited
liability company interests of Parsley SoDe Water LLC; and (ii) certain oil and
gas assets and properties in the Permian Basin (collectively, the "Pioneer
Acquisition").
On February 23, 2022, the Company filed a Current Report on Form 8-K/A to
provide, among other things, pro forma financial information of the Company
giving effect to the Pioneer Acquisition as required by Item 9.01(b) of Form
8-K, which comprised: (i) an unaudited pro forma condensed combined balance
sheet as of September 30, 2021; (ii) an unaudited pro forma condensed combined
statement of operations for the nine months ended September 30, 2021; and (iii)
an unaudited pro forma condensed combined statement of operations for the year
ended December 31, 2020, and related notes.
The Company is filing this Current Report on Form 8-K to provide the unaudited
pro forma condensed combined statement of operations of the Company, giving
effect to the Pioneer Acquisition for the year ended December 31, 2021 and the
related notes, as set forth in Item 9.01 hereto.
