MATERIAL FACT

BR PROPERTIES S.A. ("Company") (BRPR3), pursuant to CVM Resolution No. 44/2021, informs its shareholders and the market in general that, in continuity to the material fact disclosed on January 13, 2023, the notice to the market disclosed on January 19, 2023 and the material fact disclosed on February 17, 2023, that received on this date a notice sent by GPIC, LLC. informing that its subsidiary Slabs Investimentos Ltda. ("Offering Party") launched a voluntary public offer for the acquisition of the Company's control ("Tender Offer"), pursuant to article 257 of Law 6,404/76.

The Tender Offer notice, with the detailed terms and conditions of the offer, and valuation report required pursuant to CVM Resolution No. 85/2022 were made available by the Company on its Investor Relations website (www.brpr.com.br/ri) and through the IPE System, on the websites of the CVM (www.gov.br/cvm) and B3 S.A. - Brasil, Bolsa, Balcão ("B3") (www.b3.com.br).

According to the public notice of the Tender Offer, the Offering Party intends to acquire at least 61.426% and up to 100% of the total shares issued by the Company, for a price per share of R$64.00, already considering the effects of the reverse stock split and the capital reduction approved at the Extraordinary Shareholders´ Meeting held on January 24, 2023 and subject to the adjustments set forth in the Tender Offer notice.

The Board of Directors will evaluate the terms and conditions of the Tender Offer and will issue its opinion to the market within 15 (fifteen) days counted from this date pursuant to the article 21 of B3's Novo Mercado Regulation.

The Company is available to provide any clarification that may be necessary to the shareholders and to the market in general.
